3. No Professional Services or Client Relationship

The content on this Site is provided for general informational purposes only and does not constitute cybersecurity, legal, or other professional advice. Use of this Site does not create a client relationship, a contractual engagement, or any obligation for Company to provide services. Any services provided by Company are governed exclusively by a separate written agreement.

4. Intellectual Property

All content on this Site, including text, graphics, logos, icons, images, and software, is the property of Company or its licensors and is protected by applicable intellectual property laws.

You may view and use the Site for personal or internal business purposes only. You may not (1) reproduce, distribute, modify, or create derivative works; (2) reverse engineer or attempt to extract source code; or (3) use Company branding without prior written consent from Company.

5. Security and Responsible Use

Given the nature of cybersecurity services, you agree not to (1) conduct unauthorized security testing against the Site or Company systems; (2) attempt to exploit vulnerabilities without explicit written authorization from Company; or (3) use information from the Site to target Company or Company’s clients.

If you believe you have identified a security vulnerability, you agree to report it responsibly to ProCircular’s Legal Department at legal@procircular.com.

The Site may contain links to third-party websites or services. Company does not control and is not responsible for the content or practices of any third-party sites or any damages or losses arising from your use of any third-party sites. Accessing third-party sites is at your own risk.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OR COMPLETENESS.

COMPANY’S MAXIMUM AGGREGATE LIABILITY FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED TEN UNITED STATES DOLLARS ($10).

9. Indemnification

You agree to indemnify, defend, and hold harmless Company and its officers, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising out of (1) your use of the Site, (2) your violation of these Terms, or (3) your violation of any rights of any third party.

10. Privacy

Your submission of information through the Site is governed by our Privacy Policy, located at procircular.com/privacy-policy, which describes how we collect, use, and protect your information. You confirm that any information you provide is accurate and complete and that you will update it as needed. We have no liability arising from your failure to provide accurate and complete information.

11. Modifications to the Terms

Company reserves the right to update or modify these Terms at any time, without notice to you. Changes will be effective upon posting to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Site at our sole discretion, without notice to you, for any conduct we believe violates these Terms, if you engage in any fraud or abuse, or if you or anyone using your account makes any misrepresentations to us.

Your obligations as set forth in these Terms, if any, shall survive any expiration of these Terms or termination of your access to the Site.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved first through good faith negotiations. If good faith negotiations fail, any disputes shall be resolved through binding arbitration or courts located in Linn County, Iowa, as determined by Company.

16. Entire Agreement
